INDEPENDENT PLUMBING CONTRACTOR, LEAD REFERRAL & ADMINISTRATIVE SERVICES AGREEMENT

This Independent Plumbing Contractor, Lead Referral & Administrative Services Agreement (“Agreement”) is entered into as of __________________________ (“Effective Date”), by and between:

(“Contractor”)

RevShare and Contractor may individually be referred to as a “Party” and collectively as the “Parties.”


1. PURPOSE OF AGREEMENT

RevShare provides marketing, customer acquisition, lead generation, scheduling assistance, customer communication, dispatch coordination, administrative support, payment coordination, and related business services.

Contractor operates an independent plumbing business and represents that Contractor is properly licensed, insured, and legally authorized to perform the plumbing services Contractor accepts.

RevShare may generate, coordinate, and refer customer opportunities to Contractor.

Contractor independently decides whether to accept or decline each opportunity.

When Contractor accepts an opportunity, Contractor is responsible for the professional diagnosis, technical scope, lawful performance, workmanship, licensing compliance, permits, inspections, supervision, and completion of the plumbing work.

Nothing in this Agreement guarantees Contractor any minimum number of leads, appointments, jobs, customers, hours, revenue, or income.


2. INDEPENDENT CONTRACTOR RELATIONSHIP

Contractor is an independent contractor and independent business.

Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, franchise, or general agency relationship between RevShare and Contractor.

Contractor controls the professional manner and means by which Contractor performs plumbing work, including:

  • diagnosis;
  • repair methods;
  • installation methods;
  • tools and equipment;
  • personnel;
  • sequencing of work;
  • safety procedures;
  • technical decisions; and
  • compliance with plumbing codes and manufacturer requirements.

Contractor determines Contractor’s own working days and hours.

Contractor may accept or decline any offered job.

Declining a job opportunity is not a breach of this Agreement.

Once Contractor voluntarily accepts a customer appointment, Contractor agrees to make reasonable efforts to honor the appointment and promptly communicate any delays or changes.

Contractor may:

  • operate Contractor’s own plumbing business;
  • maintain Contractor’s own customers;
  • advertise independently;
  • work with other lead-generation companies;
  • work with other plumbing companies;
  • provide services to other customers; and
  • engage in other lawful business activities.

Contractor is responsible for Contractor’s own taxes, personnel, vehicles, tools, insurance, licenses, registrations, general overhead, and business expenses except for approved Direct Job Costs as defined in this Agreement.


3. PLUMBING SERVICE PROVIDER

Unless the Parties establish another lawful structure in writing, Contractor’s licensed plumbing business is the plumbing service provider responsible for plumbing work Contractor accepts through this relationship.

RevShare’s role is generally limited to:

  • marketing;
  • lead generation;
  • customer acquisition;
  • scheduling;
  • customer communication;
  • dispatch coordination;
  • administrative assistance;
  • commercial coordination; and
  • authorized payment collection.

Nothing in this Agreement permits either Party to advertise, contract for, offer, supervise, or perform plumbing services in violation of Texas law.

Where applicable law requires customer-facing plumbing estimates, proposals, invoices, contracts, receipts, advertisements, or other documents to identify the licensed plumbing company or Responsible Master Plumber, Contractor is responsible for ensuring the required information is properly disclosed.


4. TEXAS LICENSING REQUIREMENTS

Contractor represents and warrants that Contractor is legally authorized to perform every plumbing service Contractor accepts.

Contractor shall maintain all licenses, registrations, endorsements, supervision arrangements, permits, insurance, and other legal requirements applicable to Contractor’s work.

Contractor shall provide RevShare with accurate and current information regarding:

  • Contractor’s legal business;
  • plumbing company name;
  • Responsible Master Plumber;
  • RMP license number;
  • applicable plumbing licenses;
  • registrations;
  • endorsements;
  • insurance; and
  • other documentation reasonably necessary to verify Contractor’s eligibility to perform plumbing work.

Contractor shall immediately notify RevShare if:

  • Contractor’s RMP changes;
  • Contractor’s association with an RMP ends;
  • any required plumbing license or registration expires;
  • any license is suspended, restricted, or revoked;
  • required insurance lapses;
  • Contractor becomes legally unable to perform a particular service; or
  • any other material licensing issue arises.

Contractor shall not use another person’s plumbing license or RMP information without lawful authorization.

Contractor shall not falsely represent Contractor’s licensing status or RMP affiliation.


5. RESPONSIBLE MASTER PLUMBER RESPONSIBILITIES

Where plumbing work is performed under Contractor’s RMP, Contractor acknowledges that the applicable RMP retains the responsibilities imposed by Texas law.

Contractor and the applicable RMP are responsible for matters including, where applicable:

  • required supervision;
  • permit requirements;
  • inspections;
  • ensuring workers hold required licenses or registrations;
  • code compliance;
  • maintaining required insurance; and
  • proper identification of the plumbing company and RMP.

RevShare does not assume the professional, supervisory, or statutory responsibilities of Contractor’s RMP.


6. INSURANCE

Contractor shall maintain all insurance required by applicable Texas law and applicable regulatory authorities.

Contractor shall provide proof of required insurance before receiving regular job opportunities and upon reasonable request.

Contractor shall maintain legally required automobile insurance for vehicles used in connection with customer jobs.

If required insurance expires or cannot reasonably be verified, RevShare may suspend new job referrals until valid coverage is confirmed.


7. ONBOARDING REQUIREMENTS

Before RevShare begins regularly referring work, Contractor shall provide:

  1. Legal business name;
  2. DBA or plumbing company name, if applicable;
  3. Responsible Master Plumber name;
  4. RMP license number;
  5. Applicable plumbing license information;
  6. Proof of required insurance; and
  7. Preferred communication method.

Operational information including Contractor’s:

  • availability;
  • emergency or after-hours availability;
  • service area;
  • travel radius;
  • services performed; and
  • current pricing or pricing ranges

will be collected separately through iMessage or WhatsApp.

These operational details do not need to be entered into or attached to this Agreement.

Contractor may update operational information through iMessage or WhatsApp without signing a new Agreement.

RevShare may reasonably verify licensing, RMP, insurance, or business information supplied by Contractor.


8. COMMUNICATION

The Parties agree that routine operational communication will primarily take place through:

iMessage or WhatsApp.

Contractor shall tell RevShare which platform Contractor prefers.

RevShare’s handler may communicate directly with Contractor regarding customer opportunities and active jobs.

Messaging is the preferred communication method because it allows the Parties to efficiently exchange:

  • customer information;
  • addresses;
  • appointment times;
  • job descriptions;
  • photographs;
  • videos;
  • estimates;
  • quotes;
  • material receipts;
  • before-and-after photographs;
  • scheduling changes; and
  • payment updates.

RevShare does not intend to call Contractor for every routine job opportunity.

Telephone calls may be used when a matter is urgent or cannot reasonably be handled through messaging.


9. CONTRACTOR AVAILABILITY

Contractor determines Contractor’s own availability.

Contractor shall provide RevShare through iMessage or WhatsApp with the days and times during which Contractor normally wishes to receive job opportunities.

Contractor may also communicate whether Contractor accepts:

  • evening work;
  • weekend work;
  • emergency calls;
  • late-night jobs; and
  • overnight work.

Contractor is not required to be available twenty-four hours per day.

Contractor may modify availability at any time by notifying RevShare through iMessage or WhatsApp.

During periods Contractor has voluntarily identified as available, Contractor agrees to reasonably monitor Contractor’s selected communication method.


10. SERVICE AREA

Contractor determines the geographic areas Contractor is willing to service.

Contractor shall provide RevShare with Contractor’s service area separately through iMessage or WhatsApp.

Contractor may communicate the area by:

  • cities;
  • ZIP codes;
  • counties;
  • mileage radius;
  • Google Maps screenshot; or
  • another reasonable description.

Contractor may also provide a larger travel radius for higher-value or larger jobs.

Contractor may change Contractor’s service area at any time through iMessage or WhatsApp without amending this Agreement.


11. SERVICES PERFORMED

Contractor shall tell RevShare through iMessage or WhatsApp which types of plumbing services Contractor currently accepts.

This information is not required to be entered into or attached to this Agreement.

Contractor may add or remove services at any time.

Contractor is not required to accept a particular opportunity merely because Contractor previously stated that Contractor performs that category of work.

Contractor shall only accept and perform services Contractor is legally authorized and professionally qualified to perform.


12. PRICING INFORMATION

Contractor shall provide RevShare with Contractor’s normal pricing or typical pricing ranges for commonly performed services through iMessage or WhatsApp.

Pricing information is not a fixed-price schedule and is not required to be attached to this Agreement.

The purpose of collecting Contractor’s pricing information is to:

  • understand Contractor’s normal commercial expectations;
  • determine whether opportunities are appropriate for Contractor;
  • coordinate customer promotions;
  • reduce unnecessary calls;
  • quickly coordinate proposed customer pricing; and
  • understand Contractor’s commercially acceptable pricing ranges.

Because a substantial portion of RevShare’s current customer opportunities involve water heaters, tankless water heaters, and water-treatment systems, RevShare may specifically request Contractor’s typical pricing for those categories.

Contractor may update pricing at any time through iMessage or WhatsApp.

Providing a price or price range does not require Contractor to accept a particular job at that price.

Actual pricing may vary based on legitimate factors including:

  • scope;
  • labor;
  • difficulty;
  • access;
  • materials;
  • equipment;
  • existing conditions;
  • permits;
  • inspections;
  • code requirements;
  • venting;
  • gas work;
  • electrical-related requirements;
  • disposal;
  • travel; and
  • legitimate additional work required.

13. JOB OPPORTUNITIES

RevShare may message Contractor with available customer opportunities.

A typical opportunity may include:

  • customer location;
  • requested service;
  • appointment time;
  • customer-provided description;
  • photographs or videos; and
  • other relevant information available to RevShare.

Contractor may accept or decline each opportunity.

A job is not considered accepted until Contractor affirmatively confirms acceptance.

Contractor may respond with messages such as:

ACCEPTED

UNAVAILABLE

or

BUSY — AVAILABLE AFTER ______

RevShare may offer a declined or unanswered opportunity to another contractor.


14. ACCEPTED JOBS

Once Contractor accepts a customer job, Contractor shall reasonably communicate important job-status information.

This normally includes:

  • acceptance;
  • ETA;
  • material scheduling changes;
  • arrival;
  • diagnosis;
  • proposed quote;
  • customer decision;
  • material scope changes;
  • approximate completion time; and
  • job completion.

Contractor shall promptly notify RevShare if Contractor can no longer attend an accepted appointment.

Repeated failure to attend accepted appointments without reasonable notice may result in RevShare discontinuing future referrals.


15. ARRIVAL AND SCHEDULING

When Contractor begins traveling to the customer, Contractor should provide a reasonable ETA.

Example:

“Heading to the customer. ETA approximately 30 minutes.”

Upon arrival, Contractor should notify RevShare:

“Arrived.”

If Contractor expects to arrive materially earlier or later than the appointment window, Contractor shall notify RevShare so the customer can be updated.


16. PROFESSIONAL DIAGNOSIS

Contractor is responsible for inspecting and professionally diagnosing the customer’s plumbing condition.

Contractor shall use Contractor’s independent professional judgment when determining:

  • the cause of the problem;
  • appropriate repair options;
  • replacement options;
  • safety issues;
  • code requirements;
  • necessary materials; and
  • technical recommendations.

RevShare does not determine how plumbing work must technically be performed.


17. PROPOSED QUOTES

After diagnosing a job and before finalizing the commercial price with the customer, Contractor shall normally send RevShare:

  • diagnosed issue;
  • recommended repair or replacement;
  • estimated material costs;
  • legitimate additional recommended work; and
  • recommended customer price.

RevShare may review and discuss the proposed commercial price with Contractor before the price is finalized with the customer.

The purpose of quote review is to:

  • account for advertised promotions;
  • maintain reasonable customer pricing;
  • account for Contractor’s compensation;
  • account for legitimate job costs;
  • avoid inconsistent customer communication; and
  • coordinate the commercial terms of the relationship.

Contractor remains responsible for the technical diagnosis and lawful plumbing scope.


18. CUSTOMER PROMOTIONS AND DISCOUNTS

RevShare may advertise customer promotions or discounts for plumbing-related services.

If RevShare identifies a customer as having responded to a particular promotion, Contractor agrees to account for that promotion when preparing the customer quote.

Contractor may establish the underlying job price based on legitimate factors including:

  • actual scope;
  • labor;
  • materials;
  • difficulty;
  • property access;
  • equipment;
  • existing plumbing conditions;
  • permit requirements;
  • inspection requirements;
  • code-required modifications;
  • venting;
  • gas-line modifications;
  • electrical-related requirements;
  • disposal;
  • travel; and
  • other genuine job-specific requirements.

The standard or pre-discount price communicated to the customer must be reasonably supportable based on the actual scope of work.

Contractor shall not knowingly make materially false or misleading representations regarding pricing, discounts, or customer savings.

If a promotion would make a particular job commercially unacceptable to Contractor, Contractor shall message RevShare before giving the customer the final price.

The Parties may then discuss commercially reasonable adjustments or Contractor may decline the work.


19. ADDITIONAL WORK

Contractor may identify legitimate additional plumbing issues or improvements during a customer visit.

Contractor is encouraged to inform customers about legitimate concerns Contractor professionally observes.

Contractor shall not invent, fabricate, or knowingly misrepresent plumbing problems.

Before beginning substantial additional work, Contractor should communicate the additional scope and proposed customer price to RevShare so the work can be documented.

Additional work arising from a RevShare-Referred Customer remains subject to this Agreement unless the Parties expressly agree otherwise in writing.


20. CUSTOMER OPTIONS

Where appropriate, Contractor may provide customers with multiple legitimate repair, replacement, or upgrade options.

For example:

Option 1 — Basic Repair

Option 2 — Recommended Repair or Replacement

Option 3 — Long-Term Upgrade

Each option must represent genuine work Contractor reasonably believes is appropriate for the customer.

The customer remains free to accept or decline any option.


21. JOB DOCUMENTATION

For each applicable job, Contractor shall provide reasonable documentation including:

  • before photographs;
  • after photographs;
  • material receipts;
  • exact reimbursable material costs;
  • final customer price;
  • description of work completed;
  • material additional work completed; and
  • relevant future-work recommendations.

Documentation may be submitted through iMessage or WhatsApp.

Material receipts should normally be submitted the same day.


22. DIRECT JOB COSTS

“Direct Job Costs” means legitimate expenses specifically attributable to a particular customer job.

Direct Job Costs may include:

  • materials;
  • parts;
  • permit fees;
  • inspection fees;
  • equipment rentals;
  • tool rentals specifically required for the job;
  • disposal;
  • haul-off;
  • approved helper costs;
  • approved specialty subcontractor costs; and
  • other documented job-specific expenses agreed between the Parties.

Normal business overhead is not ordinarily considered a Direct Job Cost.

Examples of normal overhead include:

  • ordinary tools;
  • ordinary vehicle expenses;
  • routine fuel costs;
  • phone costs;
  • general insurance;
  • general licensing fees;
  • administrative expenses; and
  • normal business overhead.

23. MATERIAL RECEIPTS

Where Contractor seeks reimbursement or deduction of a Direct Job Cost before revenue sharing, Contractor shall provide reasonable supporting documentation.

This will normally include:

  • receipt;
  • electronic receipt;
  • invoice;
  • photograph of a receipt; or
  • similar documentation.

If Contractor cannot provide a receipt, Contractor shall explain the circumstances and RevShare may request alternative evidence.

RevShare is not required to deduct or reimburse an expense that cannot reasonably be verified.


24. COMPENSATION

Unless the Parties agree to different written terms for a specific job, Net Job Revenue shall be divided as follows:

Contractor: 60%

RevShare: 40%

“Gross Job Revenue” means money actually collected from the customer for the applicable job.

“Net Job Revenue” means:

Gross Job Revenue minus approved Direct Job Costs.

The 60/40 split is calculated after approved Direct Job Costs have been deducted.

Example

Customer Payment: $2,000

Approved Direct Job Costs: $700

Net Job Revenue: $1,300

Contractor Share — 60%: $780

RevShare Share — 40%: $520


25. JOB-SPECIFIC COMPENSATION TERMS

The Parties may agree to different compensation terms for a particular job.

Any different job-specific arrangement must be confirmed in writing.

Written confirmation may occur through:

  • iMessage;
  • WhatsApp;
  • email;
  • estimate;
  • invoice;
  • work order; or
  • another written record.

A job-specific adjustment does not permanently amend the general 60/40 structure for future jobs unless both Parties expressly agree otherwise.


26. CUSTOMER PAYMENT COLLECTION

Depending on the customer, job, and stage of the relationship, payment may be collected by Contractor or by RevShare acting in an authorized administrative payment-collection role.

The Parties shall coordinate the appropriate payment process for each job.

Where RevShare collects customer funds on Contractor’s behalf, Contractor authorizes RevShare to receive and administer the applicable payment for purposes of:

  • customer convenience;
  • accounting;
  • calculating Direct Job Costs;
  • calculating the revenue split;
  • issuing Contractor’s share; and
  • maintaining transaction records.

This payment-collection authority does not transfer Contractor’s plumbing licensing, workmanship, technical, or RMP responsibilities to RevShare.


27. PAYMENT TIMING

Where RevShare collects customer funds, Contractor’s undisputed share shall normally be paid as soon as reasonably practical after:

  1. customer funds have been received or cleared;
  2. job completion has been confirmed;
  3. required job documentation has been submitted;
  4. applicable Direct Job Costs have been documented; and
  5. no material payment dispute exists.

RevShare may temporarily withhold a genuinely disputed portion of payment where there is:

  • a customer chargeback;
  • suspected fraud;
  • missing material documentation;
  • a material customer dispute;
  • incomplete work;
  • evidence of unauthorized charges; or
  • another legitimate dispute.

RevShare shall not arbitrarily withhold undisputed compensation properly earned by Contractor.


28. COMPLETION NOTICE

Contractor should normally notify RevShare shortly before completing an active job.

A typical message may state:

“Approximately 20 minutes from finishing. Customer total is $______.”

This allows RevShare time to coordinate payment and customer administration.


29. CASH AND UNAUTHORIZED PAYMENTS

Contractor shall not intentionally direct a RevShare-Referred Customer toward an unauthorized or undisclosed payment arrangement for the purpose of avoiding RevShare’s agreed share.

Contractor shall not intentionally conceal customer payments from RevShare.

If a customer wants to pay cash or requests a different payment method, Contractor should notify RevShare so the payment can be properly documented.


30. REVSHARE-REFERRED CUSTOMERS

A customer first introduced to Contractor through RevShare shall be considered a “RevShare-Referred Customer.”

RevShare invests resources in acquiring customers, including:

  • advertising;
  • marketing;
  • lead generation;
  • scheduling;
  • customer communication;
  • follow-up; and
  • administration.

Contractor acknowledges RevShare’s legitimate business interest in protecting customers generated through these efforts.


31. NON-CIRCUMVENTION

Contractor shall not intentionally bypass RevShare by arranging private or off-the-books plumbing work with a RevShare-Referred Customer for the purpose of avoiding RevShare’s agreed economic interest.

If a RevShare-Referred Customer contacts Contractor directly concerning additional plumbing work arising from the relationship created through RevShare, Contractor shall notify RevShare.

The additional work shall normally be handled under this Agreement unless the Parties agree otherwise in writing.

This restriction applies during the Agreement and for twelve (12) months following Contractor’s most recent RevShare-referred job involving that particular customer, to the extent permitted by applicable law.

This section does not prohibit Contractor from:

  • serving Contractor’s independently acquired customers;
  • advertising to the general public;
  • working with competitors;
  • accepting customers through other lead sources; or
  • serving a person Contractor can demonstrate was Contractor’s customer before RevShare’s referral.

32. CUSTOMER INFORMATION

Customer information supplied by RevShare may include:

  • names;
  • telephone numbers;
  • addresses;
  • appointment information;
  • photographs;
  • videos;
  • service requests; and
  • other private customer information.

Contractor shall use this information only for legitimate purposes relating to the customer job and Contractor’s obligations under this Agreement.

Contractor shall not sell, publish, distribute, or improperly use customer information.

Contractor shall take reasonable precautions to protect customer information stored on Contractor’s devices or messaging accounts.


33. CONFIDENTIAL INFORMATION

RevShare confidential information may include nonpublic:

  • customer information;
  • customer lists;
  • lead information;
  • marketing methods;
  • advertising strategy;
  • pricing strategy;
  • internal commercial information;
  • dispatch procedures;
  • operating procedures; and
  • business records.

Contractor shall not disclose or commercially exploit RevShare confidential information except as reasonably necessary to perform obligations under this Agreement.

Confidential information does not include information that:

  • becomes publicly available without Contractor violating this Agreement;
  • Contractor lawfully possessed before disclosure;
  • Contractor independently develops; or
  • Contractor is legally required to disclose.

34. CUSTOMER SERVICE

Contractor shall treat customers and customer property respectfully.

Contractor agrees to communicate professionally and avoid conduct that could reasonably damage the customer relationship.

Contractor shall reasonably assist with technical questions concerning work Contractor performed.


35. WORKMANSHIP

Contractor is responsible for Contractor’s plumbing workmanship.

Contractor shall perform accepted work:

  • professionally;
  • safely;
  • competently;
  • in compliance with applicable law;
  • in compliance with applicable plumbing codes;
  • according to applicable permits and inspections; and
  • according to manufacturer requirements where applicable.

Contractor shall take reasonable care to protect customer property.


36. WARRANTY AND CALLBACKS

Contractor is responsible for addressing legitimate workmanship defects arising from Contractor’s work during any warranty period Contractor provides or applicable law requires.

If a customer reports a technical problem relating to Contractor’s work, Contractor shall reasonably cooperate in diagnosing and resolving the issue.

Responsibility for callback costs shall depend on the cause.

If the callback primarily results from deficient Contractor workmanship, Contractor may be responsible for reasonable corrective costs.

If the issue is unrelated to Contractor’s workmanship, the Parties shall determine the appropriate commercial treatment.


37. CUSTOMER COMPLAINTS

Contractor shall promptly notify RevShare of material disputes involving:

  • pricing;
  • workmanship;
  • property damage;
  • licensing;
  • customer threats;
  • refund demands;
  • chargebacks;
  • safety concerns; or
  • other serious matters.

The Parties shall reasonably cooperate in addressing customer complaints.


38. REFUNDS AND CHARGEBACKS

If a refund, chargeback, corrective repair, or similar loss results primarily from Contractor’s:

  • defective workmanship;
  • unauthorized work;
  • material misrepresentation;
  • licensing violation;
  • unlawful conduct; or
  • material breach of this Agreement,

Contractor may be responsible for the portion reasonably attributable to Contractor.

If the loss results primarily from RevShare’s:

  • billing error;
  • unauthorized representation;
  • administrative mistake; or
  • other conduct unrelated to Contractor’s plumbing work,

RevShare shall be responsible for the portion reasonably attributable to RevShare.

The Parties shall make reasonable efforts to determine responsibility based on the circumstances.


39. CONTRACTOR TOOLS AND VEHICLES

Contractor normally provides Contractor’s own:

  • vehicle;
  • tools;
  • phone;
  • safety equipment;
  • plumbing equipment;
  • diagnostic equipment;
  • ladders; and
  • normal business supplies.

Contractor is responsible for maintaining Contractor’s tools and equipment.


40. CONTRACTOR PERSONNEL

Contractor is responsible for Contractor’s own employees, helpers, technicians, or lawful subcontractors.

Contractor is responsible for their:

  • compensation;
  • payroll;
  • taxes;
  • supervision;
  • insurance;
  • licensing;
  • registrations; and
  • legal compliance.

Contractor shall not send a person to perform plumbing work who is not properly licensed, registered, supervised, or otherwise legally authorized to perform that work.


41. TAXES

Contractor is responsible for all federal, state, and local taxes arising from amounts paid to Contractor.

Contractor shall provide any tax documentation reasonably required by applicable law upon request.

RevShare may issue Contractor a Form 1099 or another applicable tax document when legally required.


42. NO EMPLOYEE BENEFITS

Contractor is not entitled to employee benefits from RevShare through this Agreement.

Contractor is not entitled through this Agreement to:

  • paid vacation;
  • paid sick leave;
  • health insurance;
  • retirement benefits;
  • overtime;
  • employee bonuses; or
  • other employee benefits.

Nothing in this provision overrides rights independently imposed by applicable law.


43. NONEXCLUSIVE RELATIONSHIP

This Agreement is nonexclusive.

RevShare may work with other plumbers or plumbing companies.

Contractor may work with other businesses, customers, lead sources, or plumbing companies.

Neither Party is required to obtain all of its business from the other Party.


44. NO GUARANTEE OF JOB VOLUME

RevShare does not guarantee:

  • any particular number of daily jobs;
  • any minimum number of leads;
  • any minimum number of appointments;
  • any minimum monthly income;
  • any minimum revenue;
  • any customer approval rate; or
  • any particular business result.

Lead volume may vary according to:

  • customer demand;
  • marketing performance;
  • geography;
  • seasonality;
  • Contractor availability;
  • pricing;
  • customer satisfaction; and
  • other market conditions.

45. REFERRAL PRIORITY

RevShare may decide which available Contractor receives a particular opportunity.

Factors may include:

  • location;
  • availability;
  • responsiveness;
  • licensing;
  • service capability;
  • customer feedback;
  • prior job performance;
  • communication;
  • pricing compatibility; and
  • quality of completed work.

Contractor is not required to remain continuously available.


46. PROHIBITED CONDUCT

Contractor shall not knowingly:

  • falsify receipts;
  • falsify photographs;
  • charge customers for work not performed;
  • falsify job expenses;
  • materially misrepresent a customer’s plumbing condition;
  • intentionally conceal customer payments;
  • divert RevShare-Referred Customers for the purpose of avoiding RevShare’s agreed share;
  • intentionally hide additional work performed for a RevShare-Referred Customer;
  • perform unlawful plumbing work;
  • falsely represent licensing;
  • falsely represent RMP affiliation;
  • misuse customer information; or
  • engage in fraud involving a referred customer.

47. SUSPENSION OF NEW OPPORTUNITIES

RevShare may immediately pause new referrals if RevShare reasonably believes there is a serious concern involving:

  • expired licensing;
  • invalid licensing;
  • loss of required insurance;
  • unsafe work;
  • customer fraud;
  • falsified receipts;
  • customer diversion;
  • unauthorized payment collection;
  • repeated failure to attend accepted appointments;
  • serious customer misconduct;
  • repeated material communication failures on accepted jobs; or
  • another material breach of this Agreement.

Suspension of new referrals does not eliminate compensation properly owed for work already completed.


48. TERMINATION

Either Party may terminate this Agreement at any time by written notice.

Written notice may be provided through:

  • iMessage;
  • WhatsApp;
  • email; or
  • another written method customarily used between the Parties.

Neither Party is obligated to continue the relationship indefinitely.

Termination does not eliminate obligations relating to accepted or completed jobs.


49. EFFECT OF TERMINATION

Following termination:

Contractor remains entitled to undisputed compensation properly earned before termination.

Contractor remains responsible for applicable workmanship and warranty obligations relating to Contractor’s completed work.

Confidentiality obligations survive.

Customer-information restrictions survive.

Applicable non-circumvention obligations survive for the period stated in this Agreement.

Unresolved customer and payment disputes may continue to be resolved after termination.


50. INDEMNIFICATION

To the fullest extent permitted by applicable law, each Party shall be responsible for claims, losses, liabilities, damages, and reasonable expenses to the extent caused by that Party’s own:

  • negligence;
  • willful misconduct;
  • unlawful conduct; or
  • material breach of this Agreement.

Contractor shall be responsible to the extent a claim arises from Contractor’s:

  • plumbing workmanship;
  • technical decisions;
  • licensing violations;
  • permit violations;
  • code violations;
  • personnel;
  • tools;
  • vehicles; or
  • job-site conduct.

RevShare shall be responsible to the extent a claim arises from RevShare’s own:

  • administrative conduct;
  • unauthorized representations;
  • payment-processing activities; or
  • marketing conduct.

51. REVSHARE TECHNICAL RESPONSIBILITY

RevShare is not responsible for determining:

  • how plumbing work must technically be performed;
  • whether a plumbing system complies with code;
  • which technical repair method is appropriate;
  • whether a plumbing system is safe;
  • which plumbing materials should be installed;
  • which permit is technically required; or
  • whether Contractor is technically capable of performing a job.

Those responsibilities remain with Contractor and the applicable licensed plumbing professionals.


52. BUSINESS RECORDS

Each Party shall maintain reasonable business records concerning amounts received, job expenses, and payments made under this Agreement.

Electronic copies of messages, photographs, receipts, invoices, and job records may be retained for legitimate:

  • accounting;
  • customer-service;
  • warranty;
  • compliance;
  • legal; and
  • business purposes.

53. IMESSAGE AND WHATSAPP RECORDS

The Parties acknowledge that routine job-specific commercial agreements and operational information may occur through iMessage or WhatsApp.

This may include:

  • job acceptance;
  • availability;
  • service-area information;
  • services performed;
  • pricing information;
  • quote discussions;
  • promotional adjustments;
  • material approvals;
  • scope additions;
  • schedule changes;
  • payment confirmations; and
  • job-specific compensation arrangements.

The Parties agree that such written communications may be retained as business records.


54. ELECTRONIC SIGNATURES

The Parties consent to conducting this transaction electronically.

This Agreement may be executed through an electronic-signature service.

Electronic signatures and electronically signed counterparts shall have the same effect as manually signed copies to the extent permitted by applicable law.

Each signer represents that the signer intends the electronic signature to authenticate and accept this Agreement.


55. ENTIRE AGREEMENT

This Agreement contains the complete agreement between the Parties concerning the subjects addressed here.

It supersedes prior oral or written discussions regarding those subjects.

Routine job-specific details and operational information may subsequently be agreed or updated through written electronic communication.


56. AMENDMENTS

A permanent modification to the general terms of this Agreement must be agreed to in writing by both Parties.

Routine operational changes do not require a new Agreement.

This includes changes to:

  • Contractor availability;
  • Contractor service area;
  • services Contractor performs;
  • Contractor pricing;
  • individual appointment times;
  • individual customer quotes;
  • individual promotions; and
  • individual job scope.

Such matters may be communicated through iMessage or WhatsApp.


57. ASSIGNMENT

Contractor may not transfer this Agreement to another plumbing company without RevShare’s written consent.

This does not prevent Contractor from using Contractor’s lawful employees, technicians, or helpers subject to applicable licensing and supervision requirements.

RevShare may assign this Agreement to a successor entity in connection with a lawful sale, merger, restructuring, or transfer of applicable business operations.


58. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Texas.


59. VENUE

To the extent permitted by applicable law, any lawsuit arising directly from this Agreement shall be brought in a court of competent jurisdiction serving:

Wilson County, Texas.

Before commencing litigation, the Parties agree to make a reasonable good-faith attempt to resolve the dispute directly.


60. SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in effect to the fullest extent permitted by law.

If a restriction is broader than legally enforceable, the Parties intend for that restriction to be limited and enforced only to the maximum extent permitted by applicable law.


61. NO WAIVER

Failure by either Party to enforce a provision on one occasion does not permanently waive that Party’s right to enforce the provision later.


62. COUNTERPARTS

This Agreement may be signed in multiple counterparts.

Each signed counterpart shall be treated as an original.

Together, all counterparts constitute one Agreement.


63. AUTHORITY TO SIGN

Each person signing this Agreement represents that the person has authority to bind the business identified in that person’s signature block.

Contractor represents that all business, licensing, RMP, insurance, and other information provided to RevShare is accurate to the best of Contractor’s knowledge.
